I trust this email finds you well.

I am reaching out to inform you that the buyer is ready to move forward with the deal, i have attached the Irrevocable Corporate Purchase Order (ICPO) from the buyer as requested. Kindly coordinate with your suppliers to ensure the timely drafting of SPA.

Additionally, I have provided the buyer's proposed transacting procedures outlined in the ICPO and emphasized below in this email. It is crucial for us to thoroughly review these procedures to ensure alignment with processes and requirements.

I have shared my conversations with the buyer via our text messages, emphasizing the importance of understanding and adhering to their specified procedures. Please review the shared texts to gain insights into the buyer's expectations and requirements.

In the meantime, if you have any leads or contacts with refineries that could assist us in facilitating and expediting this deal, please do let us know. Your expertise and network could be invaluable in securing a smooth transaction.

Once the ICPO has been submitted and accepted with clear buyer's proposed procedures, the refinery will prepare the Sales and Purchase Agreement (SPA). Your prompt attention to these matters is greatly appreciated.



Hello,
We accept that the vendor or vendor tank farm invoices us. With this invoice, we will pay our total fuel bill to the seller on the same day.
Our goal is to ensure that there is zero obstacle between us and the fuel until the test is completely completed and that we have access to 100% fuel without any problems.
The fuel may remain in the vendor tanks, we will not have it injected into another tank farm.
Once the testing is completely finished and we have verified everything, we will expand the vendor tank farm if necessary or take over the tanks there.
SPA can also write all penalty clauses. The seller may impose heavy fines to feel safe in the spa contract, we accept this.
But our only condition is that until we physically verify the fuel, until we completely complete the bottom test SGS procedures of the fuel, until we verify the official pop documents of the fuel from the ministries of energy, we do not incur even 1 USD. We do not pay hidden payments, tank farm payments or deposits or expenses to the seller, the seller to the tank farm.
If there is a loss caused by the buyer, the seller can write in the SPA that we will refund the losses 100%.


We have to physically verify at the ports where we want the fuels, we have to do SGS / Dip tests at the ports where we want the fuels, we have to verify whether the documents in the ports where we want the fuels are fake or real from the Ministry of Energy and intelligence units. There should be no obstacle between the buyer and the fuel until the seller completes these transactions completely. If the seller does this, he can write all kinds of penalties on us as the buyer in the contract. If we carry out these verifications unconditionally and the seller does not pose any obstacles to us, I will ask you to supply different fuels within 36 months.
